These Terms of Service (the “Terms”) govern your access to and use of PartyList, a product of Viewcy.com Inc (“PartyList,” “Viewcy,” “we,” “us,” or “our”), including the website at partylist.vip, event pages, invitations, RSVP, ticketing, access approval, messaging, check-in, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms include an arbitration agreement and class action waiver in Section 22. Please read it carefully.

1. The Service

PartyList is an invite-only beta service for hosts and communities to create events, send invitations, manage private access, handle RSVPs, sell paid tickets, issue free or comp tickets, configure ticket-tier refund policies, send event communications, and check guests in using QR codes or similar tools.

PartyList provides technology tools. PartyList is not the organizer, promoter, venue, seller, producer, sponsor, employer, agent, insurer, or guarantor of any host event unless we expressly say otherwise in writing. Hosts are responsible for their own events, event content, guest lists, ticket policies, safety, compliance, and communications.

2. Eligibility and account requirements

You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with permission of a parent or legal guardian.

The Service is intended for users in the United States. We do not currently market or onboard users in the European Union, United Kingdom, Canada, or other international markets.

You must provide accurate account information and keep it up to date. You are responsible for maintaining control of your phone number, email account, devices, sessions, and one-time passcodes. You may not share or sell your account access or use another person's account without permission.

3. Invite-only beta

PartyList is launching as an invite-only beta. Beta features may be incomplete, experimental, interrupted, changed, reset, or discontinued. You should expect bugs and changes. We may modify the Service, limit access, suspend features, or reset beta functionality as we improve the Service.

We will use reasonable efforts to preserve required payment, tax, refund, dispute, security, and legal records, but beta features and nonessential beta data may change or be removed. You should not rely on the beta Service for mission-critical uses.

4. Hosts and guests

A “host” is a user who creates, manages, sponsors, or controls an event on PartyList. A “guest” is a user, invitee, purchaser, attendee, or other person who interacts with an event.

Hosts are solely responsible for their events. Guests are responsible for reviewing event details, ticket terms, host rules, venue rules, refund policies, age restrictions, accessibility information, and any other event-specific terms before RSVPing, requesting access, buying tickets, or attending.

Private access approval is not guaranteed. A host may approve, deny, revoke, or modify access to an event, subject to applicable law and these Terms.

5. Host obligations

If you host an event or use host tools, you represent and agree that:

  • You are responsible for the legality, safety, accuracy, quality, and content of your event.
  • You have all rights, permissions, licenses, permits, venue approvals, insurance, and authorizations needed to hold the event and use PartyList.
  • You will comply with all laws and rules that apply to your event, including laws relating to ticketing, taxes, refunds, licenses, permits, alcohol, food service, music, intellectual property, capacity, accessibility, public safety, health, age restrictions, and consumer protection.
  • You will not use PartyList for illegal events, deceptive events, discriminatory events, unsafe events, or events that violate applicable law, Stripe policies, Twilio policies, carrier rules, or our policies.
  • You will provide accurate event descriptions, prices, refund terms, dates, times, locations, access rules, and other material information.
  • You will not misrepresent your identity, affiliation, authority, event, capacity, ticket availability, location, refund policy, or pricing.
  • You are responsible for your communications with guests and invitees.
  • You will use guest information only for lawful event-related purposes and will not sell guest information or use it for unrelated marketing without lawful permission.
  • You will honor applicable privacy rights, opt-outs, unsubscribe requests, and deletion requests to the extent they apply to you.
  • You will cooperate with PartyList, Stripe, Twilio, payment networks, carriers, law enforcement, regulators, and other relevant parties regarding event safety, fraud, disputes, chargebacks, compliance, and abuse.

PartyList may remove, suspend, or limit events or host accounts that we believe violate these Terms, applicable law, payment rules, carrier rules, or our risk standards.

6. Host permission to contact invitees

If you add a phone number or email address to PartyList, upload a guest list, invite a person, allowlist a person, or send a message to a person through PartyList, you represent that you have permission to contact that person about the event and that your use complies with applicable law.

You may not use PartyList to send spam, unsolicited marketing, misleading messages, or messages to people who have opted out. You are responsible for honoring opt-outs and for any claims, costs, penalties, or disputes arising from your improper invitation, contact, or messaging practices.

7. Guest responsibilities

If you RSVP, request access, buy a ticket, or attend an event, you agree that:

  • You will provide accurate information.
  • You will not transfer, resell, duplicate, misuse, or tamper with tickets, QR codes, access credentials, or check-in tools unless the host and PartyList expressly allow it.
  • You will comply with host rules, venue rules, age restrictions, safety requirements, and applicable law.
  • You understand that event details may change and that hosts are responsible for event operation.
  • You understand that custom access questions and related answers are shared with the host and co-hosts of the event.

PartyList is not responsible for the conduct of hosts, guests, venues, performers, vendors, or other third parties.

8. SMS and email terms

PartyList sends SMS and email communications as part of the Service.

SMS program description

PartyList SMS messages may include event invitations, RSVP reminders, host-sent event announcements or text blasts, access-approved or access-revoked notifications, ticket or check-in updates, account verification, and one-time login codes.

Consent to receive SMS messages

By signing up for a PartyList account, RSVPing to or interacting with an event, buying a ticket, requesting access, asking to receive a one-time login code, or being invited by a host who has your phone number and permission to contact you, you consent to receive PartyList SMS messages at the phone number provided.

Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

Reply STOP to unsubscribe. Reply HELP for help.

If you reply STOP, you opt out of PartyList event communications sent through the applicable messaging service. You may text START to re-opt in. One-time passcodes and account verification messages may be sent through a separate verification channel when you request them and may not be affected by an opt-out from event communications.

No mobile data will be shared with third parties or affiliates for marketing or promotional purposes at any time. PartyList does not sell, rent, or share your mobile phone number, SMS opt-in data, or SMS consent status with third parties or affiliates for their own marketing or promotional purposes.

Email

PartyList may send transactional emails, invitations, account messages, event notices, receipts, and service communications. Where required or appropriate, emails include an unsubscribe link. Even if you unsubscribe from certain event or promotional-style emails, we may still send important service, security, payment, account, or legal notices.

9. Payments, tickets, fees, and payouts

Paid-event payments are processed through Stripe Checkout and Stripe Connect. By using paid-event features, you agree to comply with Stripe's applicable terms, requirements, onboarding, identity verification, and payment rules. PartyList does not see or store full card numbers or host bank account numbers.

Merchant of record and payment roles

For paid tickets, the host is the merchant of record for the ticket price unless the checkout flow or applicable Stripe configuration states otherwise. PartyList is the merchant of record for PartyList's platform fee. Stripe processes payments, connected accounts, refunds, disputes, and payouts according to Stripe's terms and payment network rules.

Platform fee

For paid ticket sales, PartyList charges hosts a platform fee equal to 5% of ticket gross, plus Stripe's standard processing fees passed through to the host, unless we state otherwise in writing. Free RSVP events are free for hosts at launch. There is no host subscription at MVP.

Prices and taxes

Hosts are responsible for setting ticket prices and providing accurate tax, fee, and event information. Hosts are responsible for taxes, filings, registrations, permits, exemptions, and reporting obligations related to their events, ticket sales, and payouts, except to the extent PartyList or Stripe is legally required to collect, remit, or report amounts.

Payouts

Stripe handles payouts directly to host bank accounts according to Stripe's payout schedule, risk controls, account status, and applicable payment rules. PartyList does not guarantee payout timing and may support holds, reserves, reversals, offsets, or delayed payouts where allowed or required by Stripe, payment networks, law, risk controls, or these Terms.

10. Refunds, cancellations, and chargebacks

Hosts configure refund policies per ticket tier. A ticket tier may be set as no refunds; refundable until a specified number of hours before the event starts; always refundable; or comped/free, where refund is not applicable because no money flowed. Guests are responsible for reviewing the applicable refund policy before purchasing a ticket. Hosts are responsible for honoring the refund policy they configure and any other refund obligations required by law.

By default, PartyList retains its platform fee on refunds unless the host configures otherwise or we agree otherwise in writing. Stripe processing fees may not be refundable and may be charged according to Stripe's rules. Depending on the refund configuration, a host may be responsible for PartyList platform fees, Stripe fees, or other costs even if a guest receives a refund.

Hosts are responsible for cancellations, postponements, venue changes, capacity changes, and event changes. PartyList may require a host to issue refunds or take corrective action where required by law, payment rules, risk controls, or these Terms.

Hosts are responsible for chargebacks, reversals, dispute fees, network fees, refund costs, penalties, and related costs arising from their tickets, events, communications, or conduct, except to the extent prohibited by law. PartyList may recover these amounts from the host, debit or offset amounts through Stripe where available, withhold payouts, suspend the host account, or pursue other remedies.

11. User content and event content

You retain ownership of content you submit to the Service, such as event titles, descriptions, images, questions, answers, messages, names, profile information, and other materials (“User Content”).

You grant PartyList a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, publish, transmit, distribute, modify for formatting, and otherwise use User Content as needed to operate, provide, improve, promote, secure, and support the Service and your events. For example, we may display event cover images and descriptions on event pages and include event information in invitations or event communications.

You represent that you have all rights needed to submit User Content and grant this license. You may not submit content that is illegal, infringing, deceptive, defamatory, harassing, discriminatory, threatening, invasive of privacy, sexually exploitative, violent, abusive, spammy, or otherwise harmful. We may remove or restrict User Content at any time if we believe it violates these Terms, applicable law, third-party rights, payment rules, carrier rules, or our policies.

12. Copyright and DMCA notices

PartyList respects intellectual property rights and may remove content that allegedly infringes copyright.

Your notice should include the information required by the Digital Millennium Copyright Act, including your signature, identification of the copyrighted work and allegedly infringing material, your contact information, and statements of good-faith belief and accuracy under penalty of perjury.

If you believe content was removed by mistake, you may send a counter-notice with the information required by law. We may terminate accounts of repeat infringers when appropriate.

13. PartyList intellectual property

PartyList, the Service, software, designs, trademarks, logos, templates, workflows, and other PartyList materials are owned by Viewcy.com Inc or its licensors and are protected by intellectual property and other laws. Except for rights expressly granted in these Terms, no rights are granted to you.

If you provide feedback, suggestions, or ideas, you grant PartyList a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

14. Prohibited conduct

You may not use the Service to violate law; infringe rights; send spam or unlawful communications; scrape, crawl, or extract data without permission; interfere with the Service; bypass security or access controls; impersonate others; upload malware; abuse payment, refund, check-in, or messaging systems; harass, threaten, or harm others; or use the Service for events or activities that violate Stripe rules, Twilio rules, carrier rules, or applicable law.

15. Third-party services

The Service may depend on third-party services, including Stripe, Twilio, Resend, Vercel, Neon, Upstash, Sentry, PostHog, Statsig, mapping/location providers, venues, host websites, and social platforms. Their own terms and privacy policies may apply. PartyList is not responsible for third-party services, events, venues, hosts, guests, vendors, or content.

16. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Service, you acknowledge the Privacy Policy at https://partylist.vip/privacy.

17. Future AI features

PartyList does not include AI features in the MVP beta. If PartyList introduces optional AI features, those features may be subject to additional terms, consent flows, and disclosures. AI outputs, if any, may be incomplete or inaccurate and should not be treated as professional, legal, financial, medical, safety, or tax advice.

18. Suspension and termination

You may stop using the Service at any time. You may request account deletion as described in the Privacy Policy.

We may suspend, limit, or terminate access to the Service or any event if we believe you violated these Terms, created legal or safety risk, misused messaging or payment features, caused or may cause fraud or chargebacks, violated law, violated third-party rules, or used the Service in a way that could harm PartyList, users, hosts, guests, payment processors, carriers, or others.

Termination does not relieve you of obligations that arose before termination, including payment obligations, refund obligations, chargeback obligations, tax obligations, indemnity obligations, and obligations that by their nature should survive.

19. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, to the fullest extent permitted by law. PartyList disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

PartyList does not warrant that the Service will be uninterrupted, secure, error-free, or available at any particular time. PartyList does not warrant or guarantee any host, guest, venue, event, ticket sale, payout, refund, message delivery, check-in result, or event outcome. You use the Service and attend events at your own risk.

20. Limitation of liability

To the fullest extent permitted by law, PartyList and its officers, directors, employees, contractors, affiliates, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, loss of goodwill, business interruption, personal injury, property damage, event cancellation, or event-related claims, even if advised of the possibility of such damages.

To the fullest extent permitted by law, PartyList's total liability arising from or relating to the Service or these Terms will not exceed the greater of (a) amounts you paid directly to PartyList in the 12 months before the claim, excluding amounts paid to hosts or third parties, or (b) $100.

The limitations in this section do not limit obligations to pay fees, refunds, chargebacks, taxes, dispute fees, indemnity amounts, or other amounts owed under these Terms.

21. Indemnification

You agree to indemnify and hold harmless PartyList, Viewcy.com Inc, and their officers, directors, employees, contractors, affiliates, agents, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or relating to your use of the Service; your events; your User Content; your communications; your violation of these Terms or law; your violation of third-party rights; your payment, refund, tax, chargeback, or payout obligations; or your dispute with any host, guest, venue, vendor, attendee, or third party.

22. Arbitration agreement and class action waiver

Please read this section carefully. It affects your legal rights.

You and PartyList agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration, except for claims that may be brought in small claims court, claims seeking injunctive relief for misuse of intellectual property or unauthorized access, and claims that cannot be arbitrated under applicable law.

The arbitration will be administered by JAMS under its applicable rules. The arbitration may be conducted by video, phone, written submissions, or in person in New York, New York, unless the arbitrator determines another location is required by law. The Federal Arbitration Act governs this arbitration agreement.

You and PartyList waive the right to a jury trial and the right to participate in a class action, class arbitration, collective action, private attorney general action, or other representative proceeding. The arbitrator may award relief only on an individual basis.

You may opt out of this arbitration agreement by sending written notice to PartyList within 30 days after you first accept these Terms. Send the notice to privacy@partylist.vip or to the mailing address in Section 25. Your opt-out notice must include your name, phone number or email associated with your account, and a clear statement that you opt out of arbitration.

23. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration agreement. For claims not subject to arbitration, you and PartyList consent to jurisdiction and venue in the state and federal courts located in New York, New York, or Kings County, New York, unless applicable law requires otherwise.

24. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as required by law, which may include posting the updated Terms, updating the effective date, or providing in-product or email notice. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

26. Miscellaneous

These Terms are the entire agreement between you and PartyList regarding the Service and replace any prior or contemporaneous agreements on the same subject. If any provision is found unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or by operation of law. No waiver is effective unless in writing.
